Welcome to edmondfrancis.vercel.app (the "Site"). These Terms of Use ("Terms") govern your use of the Site and services offered by Edmond Francis ("I," "me," or "my"). By accessing or using the Site, you agree to these Terms.

1. Services Offered

I provide freelance creative and technical services, including:

  • Copywriting and ghostwriting
  • Workflow and operations setup
  • AI-powered production and prompt systems
  • Web design and development

Services are provided on a project basis as outlined in individual agreements or proposals.

2. Acceptable Use

You agree to:

  • Use the Site lawfully and respectfully
  • Provide accurate information when contacting me
  • Not attempt to hack, disrupt, or damage the Site
  • Not upload malicious content via any form or input
  • Not scrape content or use automated tools without permission
  • Not use my content in ways that misrepresent me or imply endorsement

I reserve the right to refuse service to anyone for any reason.

3. Service Terms

3.1 Scope: Each project begins with a clear scope, timeline, and price. Changes to scope require written agreement and may incur additional fees.

3.2 Client Responsibilities: You agree to:

  • Provide necessary materials, access, and feedback promptly
  • Review deliverables within agreed timeframes
  • Communicate clearly about expectations and changes

Delays caused by lack of client input may extend timelines without penalty.

3.3 Revisions: Each service includes a specified number of revision rounds (typically 2). Additional revisions may incur extra charges.

3.4 Payment Terms:

  • Payment schedules vary by project (detailed in proposals)
  • Deposits may be required before work begins
  • Final deliverables are released upon full payment
  • Late payments may incur fees or work suspension
  • Future projects may use Stripe for payment processing

3.5 Refunds: Given the custom nature of services:

  • Deposits are non-refundable once work begins
  • Partial refunds are considered if work hasn't commenced
  • Completed work is non-refundable
  • Dissatisfaction is addressed through the revision process, not refunds

4. Intellectual Property

4.1 Client Content: You retain ownership of materials you provide.

4.2 Deliverables: Upon full payment:

  • Copywriting/Ghostwriting: You own the final content
  • Web Design: You receive full rights to use the delivered site
  • Workflows/Systems: You receive rights to use delivered materials

I retain the right to display work in my portfolio unless otherwise agreed.

4.3 Third-Party Assets: Some deliverables may include third-party fonts, images, or tools. You're responsible for licensing these properly if not included in the scope.

4.4 Pre-existing Materials: I retain ownership of my pre-existing processes, templates, and methodologies.

5. Confidentiality

I respect your privacy. Information shared during projects remains confidential unless:

  • You authorize disclosure
  • Required by law
  • Already public knowledge
  • Independently developed by me

6. Warranties and Disclaimers

6.1 Service Quality: I provide services with reasonable skill and care.

6.2 No Guarantees: I don't guarantee specific business results, rankings, revenue, or outcomes. Success depends on many factors outside my control.

6.3 "As-Is" for Site: The Site is provided "as-is" without warranties of any kind, express or implied.

6.4 Third-Party Services: I'm not responsible for third-party tools (Cal.com, Google Analytics, Netlify, etc.) or their downtime, data practices, or issues.

7. Limitation of Liability

To the maximum extent permitted by law:

  • My liability is limited to the amount you paid for the specific service
  • I'm not liable for indirect, incidental, consequential, or punitive damages
  • I'm not liable for lost profits, data, or business opportunities

This applies even if I've been advised of the possibility of such damages.

8. Indemnification

You agree to indemnify and hold me harmless from claims arising from:

  • Your use of deliverables
  • Your violation of these Terms
  • Your violation of third-party rights
  • Content you provide to me

9. Termination

9.1 By You: You may terminate a project with written notice. Payment is due for work completed to that point.

9.2 By Me: I may terminate if:

  • You breach these Terms
  • You fail to pay
  • The project becomes impractical or illegal
  • You're abusive or unreasonable

9.3 Effect: Upon termination, you pay for completed work. Incomplete deliverables remain my property unless otherwise agreed.

10. Dispute Resolution

10.1 Informal Resolution: Contact me first at edmond.francis025@gmail.com to resolve issues.

10.2 Governing Law: These Terms are governed by North Carolina law, without regard to conflict of law principles.

10.3 Jurisdiction: Disputes will be resolved in the state or federal courts of North Carolina. You consent to jurisdiction there.

10.4 No Class Actions: Disputes must be brought individually, not as part of a class action.

11. Changes to Terms

I may update these Terms. Changes take effect when posted with a new "Last Updated" date. Continued use constitutes acceptance. For active projects, existing Terms apply unless you agree to new ones.

12. Miscellaneous

12.1 Entire Agreement: These Terms (plus any project-specific agreements) constitute the entire agreement.

12.2 Severability: If any provision is invalid, the rest remains in effect.

12.3 No Waiver: Failure to enforce any right doesn't waive it.

12.4 Assignment: You can't transfer your rights without my consent. I may assign these Terms.
